Latent Cove Terms of Service & Agreement

By submitting payment for Latent Cove’s services, the Client agrees to the following terms and conditions:

1. Services Rendered & Scope of Work

Latent Cove agrees to build, host, and maintain a custom website for the Client.

• Base Setup Fee: Covers the customization of our high-converting website layouts, including mobile optimization, basic SEO setup, and standard lead-capture form.
• Custom Scope: If the Client requests advanced functionalities, additional pages, or custom integrations, Latent Cove will provide a custom Setup Fee quote prior to billing.
• Revisions: The Client is entitled to standard revisions (text, photo, and color adjustments) during the initial 3-to-5 business day build process.

2. Fees & Payment Structure

• One-Time Setup Fee: Billed immediately upon agreement. Because this fee reserves our development team’s time and initiates the build process, it is non-refundable once work commences.
• Monthly Hosting & Maintenance: Billed at $49/month, starting immediately alongside the Setup Fee. This covers premium cloud hosting, SSL certificates, 24/7 uptime monitoring, basic text/photo updates, and automated lead-capture routing.

3. Ownership & Assets

• Domain Name: The Client retains 100% ownership of their domain name. Latent Cove manages the DNS records to keep the website live. If the Client leaves, Latent Cove will transfer the domain back to the Client’s direct control at no cost.
• Content: The Client owns all logos, text, and photos they provide.
• Code & Infrastructure: Latent Cove retains ownership of the underlying Next.js code, templates, and proprietary lead-routing infrastructure. The Client is paying for a license to use this infrastructure as a Software-as-a-Service (SaaS).

4. Cancellations & No Lock-In Contracts

Latent Cove operates on a month-to-month basis. There are no long-term trap contracts. The Client may cancel their $49/month maintenance subscription at any time by providing 14 days' written notice. Upon cancellation, the website will be taken offline, and domain management will be handed back to the Client.

5. Client Responsibilities

To ensure our 3-to-5 business day delivery guarantee, the Client agrees to provide necessary materials (logos, photos, business details) in a timely manner. Delays in providing these assets will extend the delivery timeline.

6. Liability & Uptime

Latent Cove utilizes enterprise-grade edge hosting and third-party API routing to ensure 99.9% uptime. However, Latent Cove is not liable for temporary service interruptions, lost data, or lost revenue caused by internet outages, third-party software failures, or acts of God. Services are provided "as-is."

By completing the checkout process, the Client acknowledges they have read, understood, and agree to these terms.
